01Introduction and acceptance
AgroEngine is the production, custody and trade platform for agriculture: it connects producers and buyers, freezes the deal they close, holds the buyer's payment in escrow before pickup, records the custody chain link by link and releases payment on the buyer's acceptance. Using the platform means accepting these terms and the privacy policy.
02What AgroEngine is not
AgroEngine is a technology intermediary and the operator of the custody and escrow mechanism. It is not a bank and it does not lend its own capital. It is not an auction house: every match is accepted by a person and the price is the one agreed at close. It is not a carrier and it does not own the product it never handles. It is not a certifier: process certification is issued by independent certifiers.
03Accounts and roles
Producers and buyers register on their own, with no accreditation. Transport agents, processors, certifiers, financiers, cooperatives, warehouses and brokers are accredited through the back office before they can operate. You answer for the accuracy of what you declare and for what the users you authorise do on your behalf, including an agronomist you grant access to your farm.
04Fiscal identity
A validated RUC is required to close a sale, and never to register or to publish an offer. Without one, you close through a linked company, a cooperative or an accredited broker. Fiscal duties arising from the sale remain with the parties to it.
05Offers and buy requests
A producer publishes an offer from a crop cycle; a buyer publishes a buy request. Either is an invitation to trade, not a closed deal, and you answer for the accuracy of the volume, the quality and the window you declare.
06The match freezes the deal
A trade exists when both sides explicitly accept it. That moment freezes the price, the volume, the quality attributes and the tolerance band into a pickup requisition, and none of them is indexed to an exchange afterwards or renegotiable between the parties.
07Escrow
The buyer funds the escrow before pickup, and without a funded escrow there is no pickup. The funds are held by the platform's payment hub, are not a deposit or an investment, and bear no interest for either side. They are released only by the mechanism described below.
08Gate one: the field conference
The transport agent checks the lot against the frozen requisition and accepts it in full, accepts it in part with the discarded volume recorded under a catalogue reason and its evidence, or refuses it. Acceptance fixes the base value, being the accepted volume times the frozen price, and transfers custody. From that point the producer's value does not fall, whatever happens later.
09Optional processing
A lot may pass through a processor between custody and delivery, and it may not. When it does, the processor must hold an active certification for the required scope. Loss during processing belongs to the processor and is never taken out of the producer's fixed value.
10Gate two: acceptance and settlement
The lot is delivered and the buyer accepts it. Acceptance releases the escrow in proportion to the accepted volume, and the unaccepted balance returns to the buyer in the same act. The trade is then settled, with every volume, hand-off and responsible party on record.
11Delivery window, cancellation and tolerance
A trade may be called off before gate one. After it, the buyer may cancel with a refund only if the agreed delivery window is missed, which is what keeps a producer with product in transit from being exposed to a change of mind. Natural loss inside the crop's tolerance band follows the normal flow; above the band it escalates.
12Disputes
A refusal at pickup, or a loss above the tolerance band, opens a dispute. It is decided by a person at the back office on the evidence recorded on the lot, never by an automatic rule. The decision binds inside the platform and does not remove your right to take the matter to the competent courts.
13Fees
AgroEngine charges a commission on the closed trade. There is no subscription and there is no charge for registering or publishing. The commission applicable to a trade is shown before you close it, and taxes apply as the law requires.
14Permitted use and restrictions
When using the platform, you agree not to:
- Declare volumes, quality or origin you cannot deliver, or publish product you have no right to sell.
- Impersonate another person or company, or use credentials that are not yours.
- Tamper with the evidence of a conference, a delivery or a custody transfer.
- Take a closed deal off the platform in order to avoid the commission, the escrow or the custody chain.
- Use the platform for unlawful purposes, fraud or money laundering.
- Compromise the security of the system, access third-party data or interfere with its operation.
15Accreditation and certification
Accreditations and process certifications are granted with a defined scope and validity, are public, and may be suspended or revoked. A processor without an active certification in the required scope does not receive lots. A certifier with a shareholding link to the processor it would audit is blocked from that audit.
16Advances and financiers
AgroEngine never finances anyone with its own capital. Advancing value against product in custody is the business of accredited, licensed financiers, and that flow is still in regulatory structuring, so it is not available today.
17Limitation of liability
AgroEngine answers for operating the mechanism it describes: freezing the deal, holding the escrow, recording custody and releasing payment on acceptance. It does not guarantee the commercial performance of a counterparty beyond that mechanism, nor the quality of a product it never handles. To the extent permitted by law, it is not liable for indirect damages, and its liability is limited to the amounts of the affected trade. The platform integrates group services (Pigeons for communications) and third-party services (payment processors, hosting), each governed by its own terms.
18Disclaimer of warranties
The platform is provided as it is. We make reasonable efforts to keep it available, secure and accurate, but we do not warrant that it is free of errors or interruptions. Listing information is declared by users, including every field figure, since AgroEngine uses no sensors, satellites or remote telemetry.
19Reservation of rights
All intellectual property rights in the platform, its brand, design and software belong to their holders and are protected by law. You keep ownership of what you publish and of the evidence you attach, and you grant AgroEngine the licence needed to display and to store it as the trade and its record require. We may update these terms to reflect legal, regulatory or service changes, and the current version is published on this page with its date.
20Governing law and jurisdiction
AgroEngine was born in Paraguay, launches there and is governed by its laws. It is built for Latin America, and as it reaches a new market the platform elects the user's home country to enter into each contract, where it operates or has a legal representative; where that is not possible, the jurisdiction of its headquarters applies. On personal data and information security we comply with the GDPR (European Union), the LGPD (Brazil) and the practices of the ISO/IEC 27000 family, in particular ISO/IEC 27001. Disputes are resolved before the competent courts of the elected country, unless the law requires otherwise.
